I. Easy TMS Terms and Conditions

1. Provider and scope of the agreement

Easy TMS is a transport management software service supplied and invoiced by ZENITH CORP S.R.L., a Romanian company with VAT number RO32772890, Trade Register number J1/87/11.02.2014, EUID ROONRC.J1/87/2014 and registered office at 166 1 Mai Street, Petrești, Sebeș Municipality, Alba County, 517875, Romania ("Zenith", "Easy TMS", "we").

These Terms govern access to and use of the Easy TMS application, websites, features, integrations, support and billing services (the "Service"). The agreement is between Zenith and the legal entity or professional creating the account or purchasing a subscription (the "Customer").

Easy TMS is available only for professional B2B use. Natural persons acting outside their trade, business, craft or profession are not eligible.

2. Acceptance and representative authority

By creating an account, ticking the acceptance box, starting a trial, purchasing a subscription or using the Service, the Customer accepts these Terms and the Privacy Policy.

The person accepting on behalf of the Customer represents that they have authority to bind the Customer. The Customer is responsible for its authorised users, assigned roles and actions performed through its accounts.

3. Tax and territorial eligibility

The Service may be purchased by businesses established in Romania and by businesses established in another EU Member State that hold a valid EU VAT number verified through VIES or an equivalent official mechanism.

Romanian customers are charged Romanian VAT at the statutory rate on top of the net price. Eligible customers in another EU Member State are invoiced under the reverse-charge mechanism and the invoice will state “Reverse charge”.

If VAT validation is pending, unavailable, inconclusive or negative, the purchase cannot be completed. Easy TMS does not currently accept customers established outside the European Union or consumers.

The Customer must provide complete and accurate legal, billing and tax information and promptly update any change. False information or the use of a VAT number not belonging to the Customer is a material breach.

4. Accounts, roles and security

The Customer appoints one Account Owner and may invite users within the plan limits. User rights are determined by the roles available in the Service. The Customer must keep credentials confidential and use unique, secure passwords.

The Customer must immediately notify support@easy-tms.eu of suspected unauthorised access, credential compromise or abuse. Zenith may require password resets, session termination or additional verification to protect the Service.

Named accounts may not be shared, seat limits may not be circumvented and access may not be provided to unauthorised persons.

5. Service and Customer responsibilities

Easy TMS provides tools for managing trips, fleet, documents, invoices, payments, users and related transport workflows. Available features depend on the selected plan and may evolve.

The Customer is solely responsible for the legality, accuracy and integrity of uploaded data, for checking generated documents and for compliance with transport, accounting, tax, employment, data-protection and record-retention laws.

Easy TMS is an operational tool and does not provide legal, tax, accounting or transport advice. Reports, calculations and automations must be reviewed before being used for official decisions or filings.

6. Trial period

Where offered, the standard trial period is 14 days. Zenith may require a payment method to start the trial. At the end of the trial, the subscription becomes paid and renews monthly unless cancelled before the date shown in the interface.

A trial is generally available once per company or beneficial customer. Zenith may refuse or terminate abusive trials.

7. Plans, prices, taxes and invoicing

Current plans and prices are displayed on the website and in the Service. Prices are stated in EUR, are net and exclude VAT.

Subscriptions are billed monthly in advance. The Customer authorises Stripe and Zenith to charge the payment method for subscription fees, applicable taxes and adjustments disclosed before confirmation.

For Romanian customers, the invoice will be transmitted through the Romanian RO e-Invoice system using Zenith’s accounting process whenever required by law. The Customer must supply the information needed for correct submission.

Invoices and payment documents are available through Stripe and/or the Billing Portal. Obvious billing errors must be reported within 30 days of invoice issuance.

8. Renewal, upgrades and downgrades

The subscription renews automatically each month until cancelled. The renewal date and estimated next charge are shown in the Service or Billing Portal.

Upgrades may take effect immediately and may generate a prorated adjustment for the remaining billing period, as displayed by Stripe before confirmation.

Downgrades generally take effect at the next billing period. The Customer must reduce users or resource use before the effective date where the new plan has lower limits.

9. Cancellation and no refunds

The Customer may cancel at any time through Easy TMS. Cancellation takes effect at the end of the current billing period and access continues until that date unless suspended for a serious breach.

Payments are non-refundable. No prorated refunds or credits are provided for ordinary cancellation, non-use, reduced users, downgrade or periods already billed.

Exceptions are limited to duplicate charges, confirmed technical or billing errors, amounts charged contrary to the accepted order, legal requirements or Zenith’s express written approval. Full details appear in the Cancellation and No-Refund Policy.

10. Failed payments and suspension

If payment fails, Zenith or Stripe may retry the charge and send notices. Easy TMS may provide a grace period of up to 7 days, without creating a permanent obligation.

If payment is not remedied, access may be restricted to read-only, suspended or disabled. Restoration may require full payment of outstanding amounts.

Zenith may suspend access immediately in cases of fraud, security risk, unlawful activity, abuse, harm to other customers or material breach of these Terms.

11. Acceptable use

The Customer must not use the Service for unlawful, fraudulent or rights-infringing activities; upload malware; attempt unauthorised access; test vulnerabilities without permission; copy, reverse engineer or resell the Service except as permitted by law; or impair the availability or security of the infrastructure.

The Customer must not upload data without a lawful basis or enter special-category or excessive personal data unless strictly necessary and properly protected.

12. Customer Data, export and backups

The Customer retains its rights in uploaded data and documents. The Customer grants Zenith a limited right to host, copy, transmit and process such data solely to provide, secure, maintain and improve the Service and comply with law.

The Customer should verify its data and export important information regularly. After termination, access may become read-only or disabled. Data may be retained for a limited period for reactivation, export, disputes, security and legal duties, after which it may be deleted or anonymised.

Data-protection roles are detailed in the Privacy Policy and Data Processing Agreement.

13. Intellectual property

Easy TMS, its source code, interface, design, databases, trademarks, text and documentation are protected by intellectual-property rights owned by Zenith or its licensors.

During the subscription, the Customer receives a limited, non-exclusive, non-transferable and revocable right to use the Service internally. No ownership rights are transferred.

Zenith may use feedback without payment, provided it does not identify the Customer or disclose confidential information.

14. Availability, maintenance and changes

Zenith uses commercially reasonable efforts to maintain availability and security but does not guarantee uninterrupted or error-free operation. Planned maintenance, incidents, provider outages and force-majeure events may occur.

Zenith may modify and improve features. Material reductions of core functionality in a paid plan will be communicated reasonably where possible.

15. Confidentiality

Each party will protect the other party’s confidential information and use it only to perform the agreement. Information is not confidential if it becomes public without breach, was lawfully known, is lawfully obtained from a third party or is independently developed.

Disclosure required by law is permitted to the necessary extent, with prior notice where legally allowed.

16. Warranties and liability

The Service is provided in accordance with its available description and with reasonable professional care. To the extent permitted by law, Zenith does not warrant that the Service will meet every specific requirement or that generated results can be used without human verification.

To the extent permitted by law, neither party is liable for indirect, special or punitive losses, or loss of profit, revenue, reputation or opportunity, except where caused intentionally, by gross negligence or where exclusion is prohibited.

Zenith’s aggregate liability for claims relating to the Service is limited to subscription fees actually paid by the Customer during the 12 months preceding the event giving rise to the claim. The limit does not apply to fraud, wilful misconduct, gross negligence, personal injury, confidentiality or data-protection obligations where limitation is unlawful.

17. Indemnification

To the extent permitted by law, the Customer will indemnify Zenith against third-party claims arising from unlawful uploaded data or documents, infringement of intellectual-property rights, unauthorised use or the Customer’s breach of law or these Terms.

18. Termination

The Customer may terminate by cancelling the subscription. Zenith may terminate at the end of the paid period with notice, or immediately for uncured material breach, fraud, non-payment, security risk or legal obligation.

Upon termination, the right to use the Service ends. Provisions on due payments, intellectual property, confidentiality, data protection, liability and disputes survive.

19. Changes to the Terms

Zenith may update the Terms for legal, tax, security, functional or commercial changes. Material changes will be notified at least 30 days in advance where reasonably possible. Urgent legal or security changes may take effect sooner.

Continued use after the effective date constitutes acceptance. The Customer may cancel before the effective date if it does not accept a change.

20. Governing law and disputes

These Terms are governed by Romanian law. The parties will attempt amicable resolution within 30 days after notice of a dispute.

If unresolved, disputes between professionals will be submitted to the competent courts at Zenith’s registered office to the extent permitted by law.

21. Final provisions and contact

If a provision is invalid, the remaining provisions continue. Failure to enforce a right is not a waiver. The Customer may not assign the agreement without Zenith’s consent; Zenith may assign it in a reorganisation, asset sale or transfer of the Service, subject to law.

If translations differ, the Romanian version prevails unless mandatory law requires otherwise.

Appendix 1 — Data Processing Agreement (DPA)

1. Roles

For account, billing, support, security and commercial-relationship data, Zenith acts as controller. For personal data entered by the Customer into Easy TMS for its own purposes, the Customer is controller and Zenith is processor.

2. Subject, duration, nature and purpose

Zenith processes data for the duration of the agreement and afterwards only as needed for deletion, return, security or legal obligations. Processing includes hosting, storage, organisation, transmission, controlled access, backup, support, security and deletion.

3. Data subjects and data types

Data subjects may include the Customer’s employees, officers, drivers, customers, suppliers and business contacts. Data may include professional identifiers, contact details, roles, transport information and operational documents. The Customer must not enter special-category data unless necessary, lawful and properly protected.

4. Instructions and confidentiality

Zenith processes data only on documented Customer instructions, including instructions resulting from use of the Service, unless law requires otherwise. Authorised personnel are bound by confidentiality.

5. Security

Zenith applies appropriate technical and organisational measures, including access controls, tenant isolation, encryption in transit, secret management, logging, backups and incident-response procedures, proportionate to risk and technology.

6. Subprocessors

The Customer generally authorises providers required for hosting, payments, email, security and infrastructure. Main providers may include Supabase, Stripe, Resend, Cloudflare, Lovable and CyberFolks. Zenith will impose appropriate data-protection obligations and communicate material list changes, allowing objections based on legitimate data-protection grounds.

7. Assistance and incidents

Zenith will reasonably assist the Customer with data-subject requests, security, impact assessments and authority consultations. Zenith will notify the Customer without undue delay of a confirmed personal-data breach affecting data processed on the Customer’s behalf.

8. Return, deletion and audits

At termination and on request, Zenith will make available existing export functions and delete or anonymise data, except data lawfully retained or temporarily held in backups. The Customer may request reasonable information demonstrating compliance; audits must be proportionate, confidential and must not compromise other customers or Service security.

In case of differences between translations, the Romanian version prevails, unless the law requires otherwise.
